Referral Program Terms & Conditions

These Referral Program Terms & Conditions (these “Terms”) create a legal agreement between Tropic Technologies, Inc. (“Tropic” or “We”) and you, an individual (“You”). THESE TERMS ARE EFFECTIVE BETWEEN YOU AND TROPIC AS OF THE DATE YOU ACCEPT THESE TERMS BY CLICKING A BOX INDICATING ACCEPTANCE. 

Tropic provides a software platform and related services to customers (collectively for purposes of these Terms, the “Tropic Service”). You, as an employee of a company that is a current customer of the Tropic Service (“Your Company”), are a user of the Tropic Service, and You desire to refer new prospective customers to the Tropic Service (each, a “Referral”), all as more particularly described in these Terms (the “Referral Program”). Accordingly, You and Tropic agree as follows:

1. Your Eligibility for the Referral Program. You may participate in the Referral Program if You: (a) are a current employee of Your Company, (b) Your Company is a current customer of the Tropic Service in good standing, and (c) Your Company has completed implementation of the Tropic Service (collectively, “Eligibility Requirements”). All Rewards (defined below) will immediately stop accruing if You no longer meet all Eligibility Requirements for any reason.

2. The Referral Process. If you are eligible to participate in the Referral Program (see Section 1), then You agree that:

(a) You will have access to a landing page hosted on the Tropic website where You may submit Referrals to Tropic. If You elect to submit a Referral, You must refer an individual who is a current employee of a company (other than Your Company) and provide contact information for that individual, including a business email address. The date on which You submit a given Referral is known as the “Referral Date” for such Referral. At Tropic’s request, You will introduce Tropic to the Referral in a mutually agreed upon format (e.g., email). You should not submit a Referral for a person You do not personally know, and You must obtain their express prior consent in order to provide their personal information to Tropic. You must honor any Referral requests to stop referrals or communications about Tropic. If more than one person submits the same Referral, only the person with the earlier Referral Date would be eligible to receive a Reward for that Referral.

(b) If Your Referral is a Qualified Referral (as defined below), Tropic may contact the Qualified Referral, and You may be eligible to receive Rewards (as defined below) based on the outcome of the contact, as more particularly described below.

(c) A “Qualified Referral” is an individual who is a current employee of a company, where that company (i) is not a current customer of the Tropic Service, (ii) was not a previous customer of the Tropic Service within one (1) year of the Referral Date, (iii) is not a competitor of the Tropic Service, as determined by Tropic, (iv) is not actively engaged in purchase discussions with the Tropic sales team as of the Referral Date, (v) is headquartered in North America, and (vi) is not otherwise rejected by Tropic in its reasonable discretion. 

(d) For the avoidance of doubt, ​​after successful completion of the Referral submission and introduction of such Referral to Tropic (if requested by Tropic), Tropic will be solely responsible for the sales process, including all subsequent Referral contacts, negotiations, and the execution of any and all agreements. You will not make any representations, warranties, or promises regarding the Tropic Service (including pricing) or enter into any agreement on behalf of Tropic. You understand and agree that You are not an agent or employee of Tropic and have no authority to act for Tropic or create an obligation for Tropic.

3. Your Rewards. 

(a) Tropic will award You with a payment (“Reward”) in the amount of $500 USD for a Qualified Referral that books an initial meeting with Tropic within ninety (90) days of the Referral Date and thereafter is willing to continue the discovery process regarding the Tropic Service (“Reward Referral”). 

(b) Any Reward will be provided in the form of a prepaid gift card, delivered via email, or if You elect, will be donated to a charity of Your choice.

(c) You will only be eligible to receive (or donate, at Your election) ONE REWARD PER CALENDAR YEAR, for Your first Reward Referral during that calendar year.

(d) If at any time Tropic has a reasonable basis to believe that any Rewards were earned or collected by You in a fraudulent, abusive, dishonest or other wrongful manner, You will promptly pay back to Tropic any Reward previously disbursed, and You will lose any earned and unpaid Rewards and permanently lose eligibility to participate in the Referral Program.

4. Miscellaneous.

(a) Tropic, in its sole and absolute discretion, reserves the right to terminate, modify, add, end, suspend, or delete any of these Terms, the Referral Program, or Rewards, in whole or in part, at any time. Any changes or modifications will be effective immediately upon posting.

(b) These Terms may be terminated for convenience at any time by either party.

(c) You represent that You are of at least 18 years of age at the time that You accept these Terms. In addition, each party represents and warrants that it has full power and authority to agree to and perform these Terms and to take all actions required by, and to perform the agreements contained in, these Terms, and that each party’s obligations under these Terms do not conflict with its obligations under any other agreement to which it is a party or by which it is otherwise bound.

(d) Each party agrees to comply with all applicable federal, state and local laws, regulations and ordinances in connection with its performance under these Terms.

(e) The relationship between the parties established pursuant to these Terms is that of non-exclusive, independent contractors and no joint venture, partnership, agency, franchise or employment relationship will be deemed to exist between them.

(f) The rights and obligations of the parties under these Terms will be governed by and construed under the laws of the State of New York without reference to conflict of law principles.

(g) These Terms set forth the entire agreement and understanding of the parties relating to the subject matter hereof, and merge and supersede all prior and contemporaneous discussions and writings between them with respect to the contents hereof. If any provision (or part thereof) of these Terms is determined to be invalid, illegal, or otherwise unenforceable, such provision will be enforced as nearly as possible in accordance with the stated intention of the parties, while the remainder will remain in full force and effect and bind the parties according to its terms.

(h) All notices sent hereunder will be sent via email.
